Charge and TVR agree Strategic Framework for Merger



London 13th November 2025 : Today marks the first step in a multi-phased restructuring of TVR Automotive. Under the agreed framework, TVR Automotive will become a subsidiary of Charge Holdings Ltd as part of a phased merger and acquisition process designed to create a multi-brand, low-volume integrated automotive group.
This first phase will see members of the Charge Holdings board appointed to the TVR Automotive board, alongside the issue of new share capital to Charge Holdings. Subsequent steps will include the purchase of existing share capital from current TVR shareholders as part of the agreed consolidation process.

The new structure will enable Charge Holdings and TVR to share intellectual property, engineering expertise, facilities, and leadership resources, creating a platform capable of scaling both brands and bringing a new generation of TVR vehicles to market.
While Charge Cars has developed extensive electric vehicle intellectual property, TVR’s immediate focus will remain on delivering the refreshed TVR Griffith to customers, continuing the marque’s legacy of high-performance internal combustion sports cars before expanding into new technologies in the future.
